SUB. :- Scheme of Arrangement of Future Retail Ltd.  (Scrip Code 523574) Trading Members of the Exchange are hereby informed that, Future Retail Ltd. (FRL) has fixed the  Record Date for the purpose of determining entitlement to the shareholders of the Company  pursuant to the Scheme of Arrangement of the Company for Demerger of the company as  provided in the Scheme approved by Hon’ble High Court of Judicature at Bombay. (523574, 423574 623574,570002, 670002) 24/06/2013 Scheme of Arrangement: - Upon the Scheme coming into effect, in consideration of the transfer of the Demerged Undertaking (Fashion Business) by FRL to Future Lifestyle Fashions Limited (FLFL) in terms of this Scheme, FLFL shall issue and allot to each equity/ Differential Voting Rights (DVRs) shareholders of FRL in the following ratio: 1 (One) fully paid Equity Share of Rs. 2 (Rupees Two Only) each of FLFL shall be issued and allotted for every 3 (Three) Equity Shares of Rs. 2 (Rupees Two) each held in the Company. 1 (One) fully paid Equity Share of Rs. 2 (Rupees Two only) each of FLFL shall be issued and allotted for every 3 (Three) Class B (Series-1) Shares of Rs. 2 (Rupees Two) each held in the Company. 21/06/2013 DR-060/2013- 2014 Trading Members are requested to take note of it.
